Terms & Conditions

These Terms & Conditions govern the Software Product Development and Technology Consulting Services provided by Aaryom ("The Company") to its clients. By engaging our services, you agree to be bound by the following terms.

1. Scope of Consulting Services

Aaryom provides expert technology consulting, including system architecture design, digital transformation strategy, and technical feasibility studies. Our consulting is based on current industry standards and the specific data provided by the client. While we strive for excellence, consulting outcomes are advisory in nature.

2. Product Development & Milestones

Software development projects are executed in defined phases or milestones.

  • Requirements: Development begins only after a signed Scope of Work (SOW).
  • Delivery: Each milestone is considered accepted if no written feedback is provided within 5 business days of delivery.
  • Changes: Any modifications outside the initial SOW will be treated as a "Change Request" and may be billed separately.

3. Intellectual Property (IP) Rights

Code Ownership: Upon final payment, the specific custom source code developed for the client is transferred to the client. However:

  • Aaryom retains ownership of any pre-existing libraries, "base-code," or proprietary frameworks used during development.
  • The Company reserves the right to use the general knowledge, techniques, and skills gained during the project for other clients.

4. Client Responsibilities

To ensure successful product development, the client must provide timely access to necessary data, APIs, third-party credentials, and feedback. Delays in client provision may result in a shift in the final delivery timeline.

5. Confidentiality

Both parties agree to protect "Confidential Information" including trade secrets, business plans, and technical data. This obligation survives the termination of the project for a period of three (3) years.

6. Warranty & Support

We provide a 30-day bug-fix warranty post-deployment for all custom software developed. This warranty covers errors that deviate from the signed SOW but does not cover issues caused by third-party hosting, browser updates, or modifications made by the client's internal team.

7. Limitation of Liability

Aaryom shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from the use of the developed software. Our total liability is limited to the amount paid for the specific service phase in question.

8. Governing Law & Jurisdiction

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Vadodara, Gujarat, India.
