Terms & Conditions
These Terms & Conditions govern the software development, cloud architecture, and technology consulting services delivered by AaryOM ("The Company") to its commercial clients. By signing a Statement of Work (SOW) or engaging our services, you agree to be bound by these institutional terms.
1. Scope of Technology Consulting
AaryOM delivers professional IT consulting, including systems architecture, cloud optimization roadmaps, digital transformation strategies, and AI feasibility evaluations. Services are provided based on agreed specifications and commercial objectives. Consulting recommendations are strategic in nature.
2. Milestone Execution & Acceptance
Software development projects are executed across agreed milestones:
- Statement of Work (SOW): Engineering begins strictly upon execution of a detailed scope document and milestone fee schedule.
- Acceptance Period: Deliverables for each phase are deemed accepted if no technical deviations are reported within five (5) business days of delivery.
- Change Management: Feature additions outside the executed SOW are evaluated as Change Requests with transparent impact on schedule and pricing.
3. Intellectual Property (IP) Transfer
Custom Deliverables Ownership: Upon receipt of full and final payment, ownership of the custom application code developed specifically for the client transfers entirely to the client. AaryOM retains ownership of pre-existing frameworks, design tokens, and foundational architectural libraries utilized during implementation.
4. Client Collaboration & Data Provision
Timely delivery relies on active partner collaboration. Clients agree to provide required APIs, staging credentials, feedback, and domain access within agreed review cycles. Unforeseen delays in client approvals may result in a proportional adjustment of delivery schedules.
5. Confidentiality & Non-Disclosure
Both parties agree to treat business plans, trade secrets, architecture diagrams, and commercial terms as strictly confidential. This obligation persists for a minimum of three (3) years post-contract termination.
6. Post-Deployment Warranty
AaryOM provides a complimentary 30-day bug-fix warranty post-production cutover for custom code delivered under the executed SOW. This warranty resolves non-conformances with the agreed scope but excludes modifications caused by external cloud outages, browser changes, or unauthorized third-party tampering.
7. Limitation of Liability
To the maximum extent permitted by applicable law, AaryOM's total aggregate liability arising out of any engagement shall not exceed the fees paid for the specific service milestone in question.
8. Governing Law & Jurisdiction
These terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of law in India.
